Senior Corporate Counsel The candidate will report directly to the General Counsel and serve the legal needs of the company over a broad range of areas, including e-commerce and advertising law, public company\corporate governance, contract drafting and negotiation, strategic protection of intellectual property and confidential information, and litigation management. Will partner with Legal Department team and business lines in the ongoing development of appropriate policies and best practices to strengthen corporate compliance across multiple areas of law, with emphasis on truth-in-advertising and corporate governance. Manage legal projects with vigilant attention to strengthening compliance processes, increasing efficiency, controlling costs, and avoiding operational losses. Collaboratively manage the ongoing development and communication of an internal program to ensure compliance with FTC regulations and truth-in-advertising laws generally. Partner directly with the merchandising, quality-assurance, and creative teams to ensure product claims are truthful and adequately substantiated and that on-air and on-line assets align with approved claims. Actively monitor shifts in the e-commerce and advertising law and litigation landscape in order to provide well-informed advice and update training assets. Prepare and deliver compliance training for firm's s internal and external constituents. Partner with Legal Department team in the development of policies and best practices across the landscape of corporate governance. Serve as subject matter expert as to the 1933 and 1934 Act, Sarbanes Oxley, and NASDAQ rules. Oversee Company s SEC disclosure compliance and preparation of Forms 10-K, 10-Q 8-K and Schedules 14A (proxy statements); Coordinate Securities Act registration statements and shelf registration takedowns, including negotiation of underwriting terms and preparation of prospectus supplements. Oversee director and officer compliance with personal SEC reporting, including Forms 3, 4 and 5, Schedule 13D and Form 144. Contract Drafting and Negotiation. Negotiate, draft and review contracts across a wide variety of topics governing firm's s relationships with vendors, on-air guests, event-based contractors, and IT and business-system service providers. Partner with merchandising and creative teams to develop and execute legal brand management strategy on individual matters and across the company s intellectual property portfolio. Ensure clarity of ownership and permissible use of intellectual property and confidential information in agreements with vendors and other third parties. Actively manage strategy and legal expense in all manner of litigation in which the company has retained outside counsel. Advise the company regarding indemnification obligations and joint defense agreements where claims are connected to third-party goods and services.

The candidate should preferably have 5-7 years of experience specializing in at least one of these areas and a strong desire to expand upon this specialization and grow as in-house generalist. Juris Doctorate degree required, with 5 years of experience in a law firm or in-house setting. Strong legal writing and analytical skills, including the ability to interpret, analyze, organize and communicate legal material; exceptional attention to detail is required.
