Senior Counsel - M&A, Finance and Project Development The candidate will draft, review and negotiate agreements and provide other necessary transactional legal support and advice for M&A activities. Provide general intellectual property and real estate support and advice, and draft, review and negotiate intellectual property and real estate documents. Assist on a wide range of public and private financing transactions, together with ongoing SEC and other disclosure and reporting requirements. Advise internal clients on legal matters relating to commercial relationships and provide legal support for corporate commercial transactions, including licensing, construction, operation, maintenance and supply chain agreements. Interact with regulatory counsel and provide transactional advice arising out of regulatory requirements. Counsel internal clients on corporate governance issues and routine legal matters; Work performed requires independent judgment and initiative and often involves direct client contact. Should have 7+ years of related legal experience in the M&A, Project Development, Finance or other related areas. Law Degree (J.D.) from an American Bar Association accredited law school is required. Should have active member in good standing with a mandatory state bar organization.
