Commercial Contracts Attorney Duties: Manage the overall Commercial contracting process in alignment with Collegium s priorities and strategies. Provide legal expertise and counsel for all Commercial contracting activities across key functions, including Market Access and Trade, Sales, Marketing, Commercial Operations, and Commercial Finance. Responsible for the drafting, review, negotiation, execution and maintenance of a variety of contractual agreements relating to Collegium s business and external customers such as managed care payers/PBMs, government payers (Medicaid, Medicare Part D, VA/DOD), wholesalers, retail and specialty pharmacies, GPOs, institutions and other vendors. Prepare, review, draft and negotiate Commercial contracts such as managed care agreements, letters of agreement/intent, confidentiality agreements, Master'service agreements, distribution agreements, consulting agreements, vendor agreements, etc. in partnership with key stakeholders. Support revision processes and negotiation of agreements with customers; work with internal and external parties (including outside counsel) to finalize agreement language and ensure final execution. Provide legal advice to internal teams on contract matters, including interpretation and enforcement, risk assessment, compliance and corporate policies. Coordinate and assist in developing policies, procedures and systems to support and facilitate efficient contract development and analysis. Ensure contracts and supporting documentation are properly entered into monitoring databases and manage execution of contract terms (including membership/affiliation lists, amendments, insurance, renewal, etc.) with relevant stakeholders over lifecycle of contract. Collaborate with Finance to ensure appropriate discount, rebate and/or chargeback processing and operations are met to fulfill contract obligations; support internal and external audits.

Qualifications: JD Degree from an accredited law school with the license to practice law. 4+ years experience in the pharmaceutical/biotech/payer industry and commercial contracting, with understanding of key contract provisions across various commercial functions. Strong verbal and written skills and ability to communicate complex concepts clearly. Ability to collaborate with internal and external stakeholders to form productive partnerships. Strong commitment to detail, successful prioritization and time management skills; works with a sense of urgency to meet deadlines. Strong character and ethics, self-starter and interest in working in growing, entrepreneurial environment.
