Corporate Attorney Duties: Drafting, reviewing and negotiating contracts, researching legal issues, ensuring appropriate licenses are filed and maintained for business entity, researching patent violations, filing trademark applications, and a knowledge of security and privacy laws. Ideal candidate will have transactional legal experience and be familiar with standard concepts, practices, and procedures within workers compensation insurance. A successful candidate must be able to provide services in an effective and efficient manner to ensure that all deadlines are met. Analyze and interpret laws, regulations and case law for business. Draft, review and negotiate contracts, which include but are not limited to, non-disclosure agreements, sales/purchasing agreements, consulting agreements, licensing agreements, Master'services agreements, etc.. Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports, and other documents for all projects. Maintain an audit file for each contract which will include original contract, all correspondence, changes/deviations, amendments, clarifications, and payment schedules. Develop and implement procedures for contract management and administration in compliance with company policy. Manage State licensing requirements including new applications, renewals, and filing. Review patents in regard to business processes to ensure no intellectual property violations. File trademark applications. Ability to assist in security incident investigations. Serve as a member of the Privacy and Security Oversight Committee. Perform other related duties as required. Actively engages in driving strategic initiatives, and the related goals, to ensure the most optimal outcome. Effectively communicates using written, oral, non-verbal, and active listening skills. Has the ability to clearly present an idea or concept so others understand, lets others speak, and engages productively in difficult conversations while upholding our ethical values.

Qualifications: Bachelor's degree, plus JD degree from an accredited law school; plus 1-5 years related experience; or equivalent combination of education and experience. Must be admitted into the Florida state Bar or a Florida authorized in-house counsel. Must have succeeded within a corporate role, with a combined 1- 5 years of experience. Prefer exposure to and strong familiarity with insurance, workers compensation and IT industries. Understanding of contract management and related processes. Electronic subcontract management systems experience a plus. Must be able to keep current in all related legal and industry practices. Skilled researcher. Maintain a positive attitude and work environment. Must demonstrate the ability to work cooperatively and collaboratively as a team. Organizational skills and ability to prioritize. Attention to detail and high level of accuracy. Desire to learn and grow within an organization. Strong verbal and written communication skills. MS Office Experience. Excellent Time Management skills.
