Corporate Counsel, Securities and Corporate Governance

Corporate Counsel, Securities and Corporate Governance The candidate will assist with and/or manage aspects of the company s public company securities and corporate governance matters and support the company s regulatory and compliance matters relating to equity and executive compensation. Will provide advice and counsel on disclosure issues under federal securities laws, including Regulation F-D, Regulation G and the use of non-GAAP financial measures, contingencies and ASC 450, forward-looking statements, and analyst and investor presentations. Assist with preparation and review of reports filed with the SEC under the Securities Exchange Act of 1934, including disclosures on Forms 10-K, 10-Q and 8-K and Section 16 reporting. Provide advice and counsel on legal issues related to Delaware law and the preparation of financial statements, accounting rules and pronouncements, and related financial disclosures. Assist with preparation and review of the Company s annual proxy statement. Assist with planning and execution of the Company s annual meeting of shareholders. Draft and review amendments to governing instruments, Board committee charters, and corporate policies. Draft and review materials to be provided to the Board of Directors and its committees and draft meeting minutes. Collaborate with other departments, including Accounting, Finance and Investor Relations. Manage multiple priorities effectively in a fast-paced environment. Communicate with and direct the work of outside counsel on a cost-effective basis. The candidate should have JD degree with excellent academic credentials from an accredited law school. Should have 3+ years of experience at a top law firm and/or public company and experience with securities and regulatory work. Experience at a top law firm required. Experience with corporate governance and public company SEC filings (including forms 10-Q, 10-K, 8-K and proxy statements) at a major law firm or in a corporate law department essential. Must be admitted to the California State Bar or eligible for Registered In-House Counsel designation. Experience working with technology companies a plus. Experience working with accounting teams and knowledge of financial reporting a plus.
