Corporate Counsel The candidate will give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.). Will specify internal governance policies and regularly monitor compliance. Research and evaluate different risk factors regarding business decisions and operations. Apply effective risk management techniques and offer proactive advise on possible legal issues. Managing and negotiating all client and vendor contracts. Advising Procurement and Business Unit personnel on legal risks posed by terms under negotiation for construction, equipment, service, and other types of contracts. Assisting in the negotiation of contracts with potential vendors. Negotiating and drafting content acquisition, licensing and distribution agreements. Extensive working knowledge of contractual and compliance laws and regulations. Handle various commercial and other transactional matters as required by legal group. Monitor legal issues/needs of ongoing ventures and relationships. Render general advice to programming department and other departments on various agreements and structuring issues. Prepare corporate documents necessary for dissolutions and internal mergers. Manage contract content and contract database to ensure proper legal contract templates are compliant with local country laws. Anticipate and mitigate potential legal problems within the organization as they pertain to programming and rights issues, and other commercial issues involving the Company's business partners, vendors, and suppliers. Coordinate and administer closing packages with appropriate sales and finance team members Work in collaboration with other in-house attorneys and outside counsel. Work with HR team on employment related matters and inquires. Other duties as assigned. Must have J.D. degree from an accredited law school and be an active member in good standing of the Bar. Should have 5+ years of proven experience in a law firm or corporate legal department handling transactional matters. Previous content production, distribution and/or licensing experience a plus. Should have exceptional drafting, negotiation and organizational skills. Experience preferred in one or more of the following areas: intellectual property or information technology. Thorough knowledge of MS-Office Suite (Word, Excel, PowerPoint, Access) is needed. Should have high degree of professional ethics and integrity.
