Corporate Counsel The candidate will act as an advisor on legal issues for a broad range of commercial agreements, including confidentiality agreements, material transfer agreements, supply agreements, licensing and collaboration agreements, distribution agreements and contracting arrangements with health insurance providers. Deliver guidance, privacy regulations advice and training on the requirements of the AdvaMed Code, Sunshine Act, federal anti-kickback statutes, and related regulations, guidelines and state laws. Review legal data and advises organization on appropriate legal action to be taken. Support the company s SEC reporting obligations on an as-needed basis, including reporting relating to conflict minerals. Work closely with corporate paralegals and other internal customers to develop and improve internal processes that will support the growth of the Legal Department. Function independently and deliver results with minimum supervision. Maintain the confidentiality of Legal Department communications and documentation. Ability to engage in pragmatic, high-volume judgements regarding project issues and priorities. Responsible for ensuring that department understands and complies with quality standards and requirements as documented. Other duties as assigned. Must have 5-9 years of relevant legal experience with regional, national or international law firm(s). In-house legal experience preferred. Medical device/diagnostics/pharmaceutical/biotech industry experience is essential. Should have B.A. or B.S. and J.D. with excellent academic credentials. License to practice law in the state of California.
