Counsel - Corporate & Securities The candidate will cover the entire spectrum of corporate and securities matters that confront a large public U.S. company, including preparing and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K and proxy statements, section 16 filings, filings with the NASDAQ, assisting with matters related to the board of directors and advising on corporate governance, investor relations, tax and treasury-related matters. Ensuring compliance with, federal and state securities and corporate laws, as well as applicable rules and regulations of NASDAQ and industry organizations that affect public company reporting or compliance, including Sarbanes-Oxley, Dodd Frank, ISS, Glass Lewis, etc. Preparing and reviewing SEC filings, including 10-Ks, 10-Qs, 8-Ks, Section 16 filings, proxy statements, registration statements, etc. and advising on applicable securities law issues, including but not limited to the Company s insider trading policy and Regulation FD compliance. Supporting on global corporate initiatives and subsidiary management. Providing corporate secretarial support for the Company s Board of Directors and annual shareholders meeting, including preparing and reviewing materials for the Board of Directors and its committees and the Company s proxy statement. Preparing company documents, such as minutes, consents, resolutions and certificates, charters and policies. Driving key financing activities, including preparing credit documents and advising internal clients. Advising on the executive compensation matters and preparing/reviewing equity compensation disclosure. Collaborating with, advising, and supporting a broad range of departments and functions, including Accounting, Tax, Treasury, Investor Relations and others as needed. The candidate should have a JD Degree from an accredited law school and top academic credentials required. 4+ years of strong experience with SEC, corporate governance and corporate finance is required. Prior law firm or in house experience required. Excellent management skills and business judgment with a capacity to make decisions and give advice, which demonstrates an understanding of overall business objectives and the risks/rewards of each situation. Strong organizational skills, flexibility, and ability to thrive in a fast-paced environment. Proactive personality, eager to learn new areas of the law and committed to understanding the industry and the company business. Ability to communicate effectively with a non-legal audience is required.
