Legal - Transactional Corporate Counsel The candidate will negotiate, review, and draft purchase orders, equipment acquisition contracts, construction contracts, and automotive parts supply contracts and other general contracts. Will advise company on all purchasing-related contracts, issues, bid documents and processes. Advise company on all construction-related contracts; issues, bid documents and processes. Negotiate, review and draft information technology agreements and transactions. Negotiate, draft and review a wide variety of transactional contracts and business transactions. Negotiate with outside parties on contractual issues and legal disputes, including settlement conferences. Analyze and summarize legal documents including contracts; make suggestions for alterations of those documents. Advise company on immigration matters. Research legal issues. Conduct training sessions in areas of expertise. Perform all other duties as assigned by General Counsel and Legal Coordinator. Knowledge of and expertise in purchasing/supply chain and secured transactions are needed. JD degree from an ABA-accredited LawSchool is required. Should have 10 15 years of job related experience are preferred. Excellent academic credentials (Top 20% of law class preferred; Law Review and/or legal periodical preferred) is needed. Transactional/purchasing/contracts experience is required. Construction law experience strongly desired is needed. Large law firm experience are preferred. Additional experience in any one or more of the following areas is preferred: Litigation, labor and employment, employee benefits, general corporate, tax, anti-trust and customs is essential.
