Corporate Counsel The candidate will provide advice, counsel, drafting, training and matter-specific management on a wide variety of transactions and general commercial matters, as well as dispute resolution and litigation management. Will regularly interface with business managers, executives, clients and other legal professionals. In addition, the role will regularly involve providing advice and counsel, being up to date on applicable laws and regulations and negotiating and drafting sophisticated and complex agreements for business units. Also provide support and guidance in litigation matters including products liability, asbestos and general commercial litigation. Counseling and advising internal business units, clients and management with respect to a broad range of commercial issues, related litigation and legal matters. Anticipating and mitigating potential legal problems within the organization and developing strategies to reduce potential areas of risk. Drafting, reviewing, negotiating and counseling with respect to manufacturing, sourcing, sales, licensing and other commercial agreements. Assist management on general contracts and third-party agreements. Negotiating alongside the sourcing team and drafting procurement contracts. Provide practical legal advice, counseling and support to legal department colleagues, business units, and management regarding a wide variety of legal matters. Assist in developing litigation risk assessments to include estimated costs, possibilities of success and evaluation of potential outcomes. Assist management in establishing financial reserves for individual litigation matters. Manage and direct outside litigation counsel on cases. Create business legal reports and correspondence, and effectively present information to management.

The candidate should have Bachelor degree and Juris Doctor from an accredited law school and 4-7 years of experience in a large law firm or corporate legal department. Experience with drafting and negotiating commercial agreements is required. Must have experience in civil litigation; specifically knowledge of products liability, civil procedure and exposure to general litigation issues. Licensed to practice law in a US state, preferably Georgia is required.
