Assistant Counsel II, Contracts The candidate will support the various business units in the procurement of goods and services critical to various company initiatives, including Digital First, sustainability and global growth. Responsible for providing legal advice and counsel involving a variety of commercial agreements, including technology, supply and service agreements and licenses. Collaborate and provide support regarding supply chain transparency and responsible sourcing matters. Coordinate with, and occasionally manage, outside law firms with respect to highly complex or specialized transactions as well as litigation arising from breach of contract and other contractually related disputes. Advise and counsel all levels within the organization, including senior leadership, to identify critical legal issues, assess potential legal options, and provide individuals and teams with an analysis and range of possible legal solutions. Assist with due diligence for GIS and Supply Chain matters for potential acquisitions and the integration of acquired companies. The candidate must have JD degree from a top law school and Licensed in NY. Should be experienced business lawyer with ability to form strong relationships with business leaders and serve as counsel to Supply Chain and GIS teams. Experience with drafting, reviewing and negotiating various commercial contracts related to procurement of goods and services. For example, SaaS and cloud computing agreements, IT and business process outsourcing agreements, agreements related to retail technology (including payment systems), digital asset management solutions, open source, e- and m-commerce, inbound/outbound technology and data licensing agreements, software development agreements, consulting agreements, master purchase and master service agreements and SOWs. Familiarity with privacy and data security requirements is required. Experience with contract automation systems and related technology is a plus. Cosmetic and/or OTC industry experience is desired. Experience with managing contract disputes is helpful.
