Senior Corporate Counsel, International The candidate provides international legal services to Institute under the direction of the Director Legal and Compliance, including legal advice, representation, and support to management and staff in order to facilitate achievement of the Institute's goals, while anticipating and managing risk. Analyzes proposed international bids and contractual transactions in Europe, Latin America, Canada and other regions (as assigned), and evaluates risk, documentation strategy and compliance with applicable law and policy. Reviews and drafts international transactional and other documents within Institute's risk and operating parameters and in teamwork with other attorneys (including outside counsel, as appropriate), contract negotiators and other stakeholders. Provides assistance to team on non-transactional international and compliance matters (e.g., export control, anti-bribery, data protection). Participates on teams or internal corporate activities beyond specific legal area of responsibility (e.g., Institute processes, policies, cross-functional problem solving teams). Makes recommendations to senior Institute attorneys or management on variance from standard policies and legal terms. Works on problems of complicated scope where analysis of situations or data requires a review of a variety of factors.

The candidate should have a Law degree from nationally accredited law school (or foreign equivalent). Bar membership in good standing in the US (CA, NY, TN, or NC preferred) is required. Must have 6-10 years of applicable international experience, preferably both in law firm and in-house (energy or research a plus). Familiarity with international compliance issues, including export control, anti-bribery/FCPA, data protection strongly preferred. Familiarity with bids and consortia in Europe or Latin America (international organizations, E.U., government-controlled entities) strongly preferred. Familiarity with civil law jurisdictions strongly desired. Strong legal drafting and international negotiation skills are needed. Should have working knowledge of at least one foreign language pertinent to Institute's business in Europe or Latin America (preferably Spanish).
