Senior Corporate Counsel

Senior Corporate Counsel The candidate will draft and negotiate licenses, product purchase, service, leases and other vendor and inbound related agreements. Support the drafting and negotiation of other agreements including NDAs, supplier/vendor agreements and technology partner agreements as needed. Provide advice and expertise on global privacy and data protection laws with a focus on the United States, the European Union, and GDPR. Provide advice and guidance on the legal, trade compliance, privacy and security implications of new products and features and proposed expansion into new markets. Coordinate internal stakeholders and other resources where applicable to better facilitate internal investigations and related compliance measures. Ensure contracts comply with ForeScout policies and procedures. Advise and assist various internal stakeholders in development and maintenance of standard contract terms and conditions. Develop materials and deliver policies and procedures training to global stakeholders. Provide assistance in subsidiary formation and corporate governance related to subsidiaries. Manage outside counsel and contracts managers as necessary to accomplish legal department tasks. Coordinate feedback and work with other business functions (operations, technology, finance, tax, communications, etc.) and other subject matter specialists in the legal team. The candidate should have BA / BS and JD degree. Must be a lawyer qualified to practice in at least one U.S. state, California State Bar is preferred. Should have 5-10 years of experience in-house, law firm or mix. Significant experience with transactional, contracts and licensing agreements. Must possess professional maturity to take ownership of various assignments with limited supervision and achieve results. Flexibility and willingness to work on a broad variety of contract and related matters. Sense of humor and commitment to professionalism is needed. Strong written and verbal communication skills; advanced PC skills required with expertise in MS Word, Excel and PowerPoint. Willingness to learn database management tools are needed.
