Senior Counsel Commercial Litigation and Compliance The candidate will provide expert advice and counsel to business leaders, Human Resources and other internal customers on commercial or compliance matters including but not limited to vendor issues, independent contractor matters and business disputes. Will develop strategies to administer all aspects of commercial litigation matters. Assign and manage outside counsel when retained on relevant matters. Ensure outside counsel perform services in accordance with expectations. Includes evaluating risks, strategy development, active management of assigned matters, adherence to budgets; enforcement of outside counsel guidelines; achievement of successful outcomes. Manage customer and vendor bankruptcies, including preference claims. Work with international transactions and subsidiaries. Maintain knowledge of Foreign Corrupt Practices Act (FCPA). Oversee relevant auditing of same, as needed. Ensure proper support of Company Code of Conduct compliance efforts, including policy setting, training and enforcement. Manage Whistleblower Hotline complaints, delegating to relevant areas for review or investigation. Provide follow up reports to leadership or Audit Committee as requested. Maintain subject matter expertise in relevant practice areas. Provide supplemental support on other matters as assigned. Maintain a positive work atmosphere by acting and communicating in a manner which facilitates the success of business operations in order to meet company demands and expectations. Perform additional responsibilities as assigned by leadership. Strong written and oral communication skills are needed. Exceptional research and drafting skills; good business judgment and strong interpersonal skills are needed. JD degree from accredited law school with superior academic records admitted to at least one state Bar is needed. Should have 5+ years of experience at a prestigious law firm or sophisticated in-house legal department. Strong written and oral communication skills ins ; exceptional research and drafting skills; good business judgment and strong interpersonal skills; ability to work independently and as a team player with flexibility and willingness to work on a broad range of legal matters; ability to work with minimal supervision; ability to balance business needs and corporate goals within the appropriate legal framework and with a large emphasis on compliance; ability to prioritize and manage numerous matters simultaneously. Knowledge of CA employment law is preferred.
