Corporate Counsel

Corporate Counsel The candidate will be responsible for handling domestic and international revenue sales contracts, such as subscription, software, and professional services agreements, as well as procurement transactions and other corporate legal matters. Will report to the General Counsel and will have significant interaction with executives and a globally distributed sales team. Negotiate, draft, and analyze a wide variety of commercial contracts including subscription services, software licensing, consulting/professional services, and procurement agreements. Counsel multiple business lines within firm's including Sales, Product and Marketing, and Engineering on legal issues and risks, complex deal structures, corporate policies and procedures, data privacy, and intellectual property protection. Support the continuous improvement of standard forms of agreement and legal processes. The candidate must have 5 years of transactional experience in a law firm and/or in-house corporate setting. Must have experience advising clients on and structuring complex commercial transactions (particularly for a SaaS business), including subscription agreements, licensing agreements, reseller agreements, statements of work, professional services agreements, and procurement contracts. Previous experience managing outside counsel as well as in-house legal staff in a technology setting would be a plus. Excellent written and oral communication skills to facilitate successful interaction with all levels of management and staff is required. Excellent customer service (internal and external), interpersonal, and organizational skills is required. Multinational/international legal knowledge and experience, including data privacy, a plus. Excellent sense of humor, project management skills, and commitment to professionalism are required. Prefer attorney that has worked in a high-technology business/company environment with a significant transaction volume. Must have a J.D. Degree from an ABA-accredited law school and be a member in good standing of the CA Bar.
