Corporate Counsel The candidate will focus on providing a broad array of legal services to include: mergers and acquisitions; real estate transactions; general contract review for commercial agreements. Providing advice on proposed transactions with respect to structuring the transaction, letters of intent, and trade or other restrictions, restrictive agreements with sellers and management of target companies. Drafting, reviewing, and negotiating service agreements, real estate leases, licensing agreements, purchase and sale agreements, and non-disclosure agreements. Handling legal due diligence, coordinating with other members of the acquisition team, interfacing between outside counsel and internal clients on transaction agreements. Monitoring compliance with legal requirements, drafting and negotiating closing documents, overseeing closings, and following up on post-closing and key integration matters. Managing outside legal counsel in property acquisitions, review of agreements. Review of commercial agreements for sales of products. Integrating newly acquired entities into current legal framework of the company. Drafting and review policies and procedures for company and legal department. Drafting and reviewing of SEC documents including period reports, proxy statements and Section 16 forms. The candidate must have excellent academic record with a law degree from a top law school. Should have 6-8 years of legal experience, M&A transactional experience. Active Bar membership in good standing; no bar infractions; actively licensed to practice law in the US is required. Experience in the manufacturing and technology sector is desired for this position is needed. Transactional training in a large law firm is preferred. In-house experience with complex and international contractual agreements is desired. Proven contract drafting and negotiating skills is needed. Experience analyzing issues associated with public entities, and handling various transactional and business planning matters is preferred. Strong interpersonal skills and ability to interact effectively and work diplomatically with individuals at all levels is must.
