Associate General Counsel/Director Insurance The candidate will provide counsel on coverage intent and policy language to Underwriting and negotiate with brokers and customers when necessary. Will draft account specific endorsements with underwriters to address insured s needs and assist in structuring complex insurance transactions; i.e., quota share policies, blended policies and excess towers. Research and resolve global regulatory compliance issues encountered by underwriting including: company licensing and use of paper; cancellation/nonrenewal/conditional renewal; policy issuance; form and rate filing requirements; consumer complaints; surplus lines and deregulation. Drive creative and innovative ideas around new and existing coverage and products. Develop policy wording in a timely and efficient manner to accommodate changing market trends. Prepare all new policy forms and endorsement for state filing (prepare explanatory memorandum, spreadsheet providing explanation to states of purpose for each form, oversee and assist the filing team s preparation of state amendatory endorsements) and coordinate responses to state requests for further information. Review rate plans and general rules prepared by Actuarial for state filing, prepare explanatory memorandum, and coordinate responses to state requests for further information. Develop and train underwriting staff regarding coverage and products. Provide legal support and advice to ESU management on all consulting and vendor contracts, intercompany services agreements, corporate compliance, corporate communications, marketing materials, intellectual property and general corporate and transactional matters. Assist in various insurance support transactions including agency licensing and appointment, managing general agency/underwriting agreements, risk purchasing groups, third party administrators and vendor contracts. Provide legal support and advice to ESU underwriters in connection with indemnity agreements, premium financing, credit and security documents, confidentiality and nondisclosure agreements, warranty letters and memos of understanding. Act as legal liaison for ESU with various business and corporate units within the greater organization.

The candidate should have 10+ years of relevant legal experience within an insurance company. Familiarity with the following coverages is strongly preferred: Directors and Officers Liability; Professional Liability; Fiduciary Liability; Employment Practices Liability; Transactional Liability; Trade Credit and Political Risk; Cyber Liability and Surety. International regulatory experience is preferred. Must be admitted to and be a member in good standing of the NY Bar. Must have strong negotiating skills, analytical ability, and excellent writing and communication skills.
