Corporate Counsel Duties: Working with limited direction, provides legal expertise to the business with respect to general legal and commercial compliance matters. Prepares, drafts, reviews, negotiates and modifies a wide variety of commercial contracts and other documents. Identifies, researches and provides advice about complex legal and commercial compliance issues and develops resolutions to those issues. Identifies risks and proposes alternative solutions to mitigate risks involved in potential transactions. Assists in the identification, delivery of advice on and resolution of legal and commercial compliance issues. Assists on strategic transactions and other mission critical initiatives. Identifies the need for, initiates and develops language for the implementation of legal or commercial compliance policies. Prepares and maintains corporate records for entities worldwide. Stays current on developments in applicable laws, regulations and industry codes of ethics and practices. Interprets laws, rulings and regulations for the company and recommends appropriate changes or actions. Supervises and directs the work of outside counsel. Reviews expenditures for outside counsel.

Qualifications: Completion of a Juris Doctor Degree and practical experience. 4-10, years of relevant experience, preferably including experience at a nationally recognized law firm. Requires registration to practice before the supreme court of at least one state in the U.S. Requires eligibility for registration to practice before the Supreme Court of the State of Colorado. Prior experience with a medical device, pharmaceutical or biotechnology company is helpful but not required. Expert legal document drafting skills. Ability to interact effectively with associates at most levels in all businesses. Ability to work collaboratively with business clients and proactively become involved in business initiatives. Proactive, flexible, responsive and resourceful. Communicates clearly, concisely and effectively. Ability to listen carefully, question and input effectively when evaluating legal and compliance issues. Self-starter, quick learner, skilled at working independently and driving matters to conclusion with little supervision, while coordinating with other attorneys, paralegals and administrative staff globally. Demonstrated ability to quickly establish trust and rapport with other associates. Understands business implications of decisions and knowledge of market and competition. Efficient at handling and prioritizing multiple projects in a fast-paced, service-oriented environment. Requires strong organizational, analytical, interpersonal and time management skills. Knowledge and use of relevant PC software applications and skills to use them effectively. Demonstrated ability to communicate effectively both verbally and in writing. Or An equivalent competency level acquired through a variation of these qualifications may be considered.
