Corporate The candidate will work closely with all Achaogen functions to draft and negotiate contracts and licenses covering all aspects of its business, and will help to create and implement company processes and procedures for the handling of contracts. Will also provide legal support for risk management (insurance) and real estate/facilities projects. Reports to the Associate General Counsel, Corporate Law, and will have the opportunity from time to time to assist on a variety of other legal matters, including matters related to corporate/securities law, finance, governance, compliance, human resources and business development. Draft and negotiate agreements and licenses of all types in collaboration with a variety of Achaogen functions, including clinical trial, supply, service, material transfer, scientific collaboration, consulting, partnership and confidentiality agreements. Manage outside counsel where necessary to provide efficient legal expertise to Achaogen. Manage contract workflow processes across multiple Achaogen functions to ensure the contracts are finalized and executed in a timely manner and in compliance with company policies. Monitor Achaogen and counterparty compliance with contracts and ensure proper maintenance of contracts in Achaogen contracting databases. Build and improve the company s contracting processes and procedures, refine and update the company s templates for contracts and develop and conduct trainings for Achaogen employees on the legal aspects of contracts. Serve as first point of contact on all legal issues related to risk management (insurance), real estate and facilities. Periodically assist the Associate General Counsel, Corporate Law, on a variety of other legal projects, including corporate, securities, finance, compliance, HR and business development matters. Participate as a proactive business partner to all Achaogen functions and build a trusted advisor relationship with employees of all levels. Exercise excellent legal judgment to provide pragmatic risk-based counsel. Should have 3-7 years of experience (either in-house or at a well respected law firm) in drafting and negotiating contracts and licenses. Must have strong interest in biotechnology and in-house legal practice. Should have JD degree, admitted to CA bar in good standing or registered in-house counsel. Prior experience with healthcare, biopharma or medical device legal issues preferred. Experience with contract management software desired.
