Corporate Counsel, Ethics and Compliance The candidate will assist the AGC Corporate and the Senior Corporate Counsel, Governance and Securities with the management of all global corporate compliance efforts related to a listed public company, including review of press releases, marketing and other documents to ensure Regulation FD compliance, all reports required by and compliance with state, federal and foreign securities regulators, domestic parent and subsidiary and foreign corporate compliance, compliance with SEC and public procurement requirements, FCPA compliance and advice, GDPR compliance and advice, and primary responsibility for providing legal advice and compliance review for company policies including Code of Business Conduct and Ethics, Global Anti-Corruption Policy, Insider Trading Policy, Whistleblower Policy, Policy and Procedures with Respect to Related Person Transactions, and other pertinent company policies. Will coordinate with and provide legal advice to the company's compliance department, including internal audit, for compliance with the Dodd-Frank Act, S-OX, state, federal and foreign securities regulator requirements, development of compliance program content, and preventative training and advisory assistance to employees and other departments. Advise the Director of Global Compliance, as needed. Negotiate, draft, and coordinate outside counsel and third-party counsel on legal matters involving applicable foreign compliance policies and other non-transactional agreements where the company's interests are involved. Review and advise on public procurement proposals in compliance with applicable requirements. Review internal and external corporate disclosures and communications on behalf of the investor relations, finance and marketing departments where company interests are involved to assure no undue risks to the company and compliance with Regulation FD. Assist the AGC Corporate in training, oversight and enforcement of the company's Code of Business Conduct and Ethics and other policies, including gift requirements, and ensure compliance with all state, federal and foreign laws. Review best practices for corporate ethics and compliance and ensure continual improvement in company policies and practices. Draft compliance policies, forms, templates and training materials as needed. Provide other legal support to the Legal department team as needed.

The candidate should be a graduate of an accredited American law school and currently licensed to practice law in the state of residence. Must have 5+ years of related experience in private practice, in-house, or preferably both. Experience and demonstrated interest and competence in complex, corporate governance, ethics and compliance matters, is required. Experience with public company filings is needed. Familiarity with tech or IP industry a plus. Experience with GoToMeeting a plus.
