Corporate Legal Counsel Duties: Provide legal support for the maintenance of the company s franchise system through the development and implementation of systems and procedures for the establishment and maintenance of the franchise relationship and compliance with franchise registration, disclosure and relationship laws. Contribute to the objectives of the company by providing legal support for all internal company department initiatives tied to the long-term strategic goals of the company. Provide oversight on Employment Matters, including employment contracts, benefits programs and EE Handbooks, real estate agreements and renewal process on agreements. Provide legal training to members of management and business partners. Provide support for M&A transactions Providing legal advice and business counsel on innovative marketing and sales strategies, activities and programs, with a primary focus on review of advertising and promotional strategies and materials, direct-to-consumer advertising, and digital and social media initiatives. Provide support through counseling, contract negotiations and drafting for all company departments including Finance, Marketing, Fulfillment, Retail, and Human Resources. Will be advising the corporate executive team on FDA regulatory matters and compliance with laws, regulations, industry standards and company policies that arise throughout the product lifecycle. Oversee compliance with federal and state franchise registration and relationship laws. Working with clients to develop appropriate and compliant strategies for interacting with franchise owners and other stakeholders. Create systems for and providing advice to the Franchise Development team regarding processes for franchise sales, renewals, expirations and contractual compliance matters. Counsel company personnel on a range of issues including franchise law, intellectual property law, employment law, general business and litigation matters. Assist with contractual negotiations and documentation of relationships with third party vendors and consultants. Manage the company s intellectual property by proactively protecting the brand, filing for new trademark registrations and opposing infringing uses and registration applications. Maintain the internal document retention and management system. Manage the company s outside counsel relationships and costs.

Qualifications: JD degree and Bar membership. 10+ years ?¢ experience practicing law, including 4+ years of relevant experience in franchise law. Have demonstrated ability to master and thrive in new areas of law and new industries. Proven track record of implementing systems and maintaining franchise contracts and all related franchise agreements.
