Corporate Counsel RESPONSIBILITIES: Ensure Anaplan is in compliance with securities laws, Delaware corporate law, corporate governance policies and reporting obligations. Provide advice and counsel on disclosure and compliance issues and assist in preparation and review of disclosure reports filed with the SEC. Assist with planning and execution of board and committee meetings, including compliance with charters and corporate policies, preparing and reviewing presentation materials, and drafting meeting minutes. Collaborate with other groups including accounting, finance and investor relations in the provision of information to investors and in response investor inquiries. Advise human resources on a broad range of day to day employment issues or support other internal business functions in another substantive area of law. Advise senior management and business clients on all aspects of law, including development and implementation of global policies and processes. Other duties may include providing legal support to other functional groups, advising on general corporate and risk management issues, as well as assisting with management of external counsel.

REQUIREMENTS: JD degree with excellent academic credentials. Member in good standing of the California State Bar. 7+ years of relevant legal experience counseling public technology companies on securities law (including preparation and review of reports filed with the SEC under the Securities and Exchange Act of 1934) and corporate governance at a top law firm or in a comparable environment as part of an in-house legal team. Substantive experience with employment law or another area of law is desirable. Experience in the software and technology industry, and general knowledge of the cloud/SaaS industry. Ability to work independently with minimal supervision, while adapting quickly to a rapidly changing environment. Practical yet creative problem-solving approach that emphasizes addressing business needs while protecting values and interests, as well as complying with applicable laws, regulations, policies and obligations. Extremely well organized with a proven ability to multitask in a fast-paced environment while meeting deadlines. Exceptional communication and interpersonal skills.
