Contracts Assistant General Counsel Requisition ID: 131021 The candidate provides general legal and business counseling and support in all areas affecting the company. Negotiates and supervises a broad variety of M&A activities, including the negotiation of asset purchase agreements, stock purchase agreements, transition services agreements. Negotiates and prepares various contracts, including services agreements, licensing agreements (technology and other), non-disclosure agreements, consulting and marketing agreements, etc. Provides legal training and management. Maintains professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks; participating in professional societies. Draft, review, negotiate, and interpret complex commercial contracts, including contracts for the supply of goods and services, strategic alliance, feasibility, licensing, and other intellectual property-related agreements in compliance with company policies and risk tolerances. Manage projects and initiatives that help identify and mitigate legal risk. Advise management, finance, and other company departments on legal issues and risks, procedures and negotiation strategies, and complex contracts and deal structures. Collaborate with business leaders and internal departments to accomplish company objectives. Involved in the development of new policies and programs, staffing and training process, supervision of subordinates, research, and preparation of presentations and reports. Coordinate and communicate with a large number of people to be aware of the progress in the departmental and organizational activities. Initiate projects on behalf of the department and organization. Manages legal aspects of policies, procedures and processes. Interacts with affiliates and clients as necessary. When assigned direct reports, additional responsibilities could include interviewing candidates, fostering a positive environment, providing guidance/direction including both positive and constructive feedback, administering corrective action counseling up to and including termination as appropriate. Attend continuing legal education seminars to keep abreast of changes. Appropriately completes all directives issued by Sr. Management and apprise them of departmental information via frequent periodic reports and informal discussions. Support the continuous improvement of standard form agreements and legal processes.

The candidate should have Bachelor's degree and Doctor of Jurisprudence degree. Should have 10+ years of legal experience; expertise in general business and commercial contracting; member of the Bar in state of residence; In-house experience required. Prior responsibility for managing and developing staff required. Experience within the business process outsourcing industry is strongly preferred. Strong consulting and problem-solving skills are needed. Strong written and oral communication skills are needed. Strong interpersonal and relationship building skills is needed.
