Corporate Counsel The candidate will advise business teams in the United States and elsewhere with an emphasis on negotiation of commercial transactions, partner relationships and procurement transactions. Reports to the Vice President of Legal. Support company's U.S. Sales, Partner and Customer Success organizations in structuring commercial transactions, and drafting and negotiating commercial agreements such as SaaS subscription agreements, order schedules, statements of work, and confidentiality agreements. Support company's procurement and business teams in structuring, drafting and negotiating agreements with suppliers. Advise business teams worldwide on legal compliance matters, including on data protection and privacy issues. Partner with finance, sales ops, tech ops, procurement other internal teams to ensure consistency in implementing company policies and processes. Advise senior management and business clients on aspects of law in commercial transactions and related matters, including data protection and privacy. Assist in optimizing contract templates, drafting global corporate policies and processes, ensuring regulatory requirements are adhered to and developing training materials on relevant topics such as the contracting process, data privacy and legal compliance in the sales and contracting processes. The candidate should have 5+ years of relevant legal experience, in a Cloud/SaaS software company and/or in a law firm counseling rapid-growth technology/Cloud/SaaS companies. California qualified lawyer with accredited law degree and a current license. Must have substantive experience with complex, commercial technology transactions. Substantive experience dealing with/collaborating with Sales, Sales Management, Executive teams on complex contract negotiations required. Ability to work independently with minimal supervision, while adapting quickly to a rapidly changing environment. Ability to maintain strong working relationships with demanding internal clients.
