Corporate Counsel

Corporate Counsel Duties: Participate in defining and developing corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Judge the merits of major court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable SEC laws and regulations. Structure and manage the company's internal legal function and staff. Oversee the selection, retention, management and evaluation of all outside counsel. Advise on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities. Serve as the main legal advisor on research and development related matters including licensing of intellectual property rights, purchase and sale of technologies and technology collaboration arrangement with third parties. Negotiate and draft the transaction documents with respect to the global distribution of company products. Negotiate commercial transactions with manufacturers and component suppliers. Advise the board of directors with respect to corporate governance and draft board resolutions. Supervise the company's internal compliance team with respect to conflict mineral regulations.

Requirements: Doctor of Law (JD Degree) Degree plus 3 years' experience as a Corporate Associate Attorney. Must have a license to practice law in the State of New York. Must have 3 years' experience in each of the following: (1) drafting and negotiating commercial instruments; (2) providing advice regarding mergers and acquisitions transactions; (3) reviewing contracts and outlining legal issues; (4) drafting documentation for capital market transactions; and (5) providing advice regarding closing process for capital markets and finance transactions.
