Corporate Counsel The candidate will work with commercial real estate matters related to acquisition, ownership and disposition of real property, including purchase and sale transactions, development, financing, leasing, title matters, and easements. Will draft and negotiate legal contracts and other documents related to a variety of commercial and operational matters as well as manage ongoing litigation in support of the Associate General Counsel. Effectively manage the partnership with outside counsel including selection, management, evaluation, and control the costs of outside counsel as needed. Ensures that contracts between clients and employees, customers, or other parties are written in accordance with guidelines promulgated by the legal department. Drafts, reviews, negotiates, and prepares purchase/sale agreements (existing units), development and operating agreements (and related agreements/documents), limited liability company/limited partnership agreements, support services agreements, employment agreements, license agreements, shopping center leases, strip center leases, ground lease, lease riders, purchase agreements, deeds, and related legal real estate documentation, including short form leases, non disturbance agreements, amendments, estoppel certificates, easement agreements, and the like. Reviews title to property, reviews title insurance commitments, provides instructions for obtaining surveys and reviews environmental reports and protects the interests of the Company. Should have Law Degree from ABA accredited law school required; must be admitted to practice in Tennessee. Must have 2-3 years of transactional experience in-house or with a law firm. Knowledge of loan processes, escrow, and real estate documentation is essential.
