Associate General Counsel, International Advisory Attorney

Associate General Counsel, International Advisory Attorney The candidate will assist in preparation of international marketing and advisory guidelines in multiple international countries. Work closely with international compliance teams on their implementation. Provide legal advice on marketing, promotion and sales of investment products on a multi-jurisdictional basis, including non-Asian jurisdictions. Assist in preparation of legal documentation including distribution agreements, services agreements, and advisory agreements. Work closely with internal business clients on regulatory issues, general legal and corporate governance matters, including board meetings, and US legal issues impacting foreign advisers arising from US ownership/US seed capital in foreign funds. Primary attorney providing legal advice and support on international marketing and advisory activities related to Japan, Hong Kong, South Korea, Australia, and other Asian jurisdictions, and on legal issues arising from offices and activities in those locations. Provide legal advice and support on opening new Asian offices/entering new markets on a cross border basis. Research and advise on developments in the law, regulations and practices relating to the asset management industry with an emphasis on marking and advisory laws and regulations governing countries in Asia. Work with attorneys from affiliated asset managers seeking to do business in Asia through offices in Japan, Hong Kong, South Korea, and Australia. JD and admission to the NY Bar are required. Must be experienced, senior attorney working as an investments advisory attorney with a law firm and/or another asset management environment; 10+ years of relevant experience. Familiarity with: locally licensed Japanese/Hong Kong/Australian asset management offices, cross border DIM licenses in South Korea, legal issues relating to cross-border marketing, distribution and asset management, negotiating and drafting contracts.
