Commercial Contracts Counsel

Commercial Contracts Counsel The candidate will be supporting to internal business clients, assisting those functions as they transact complex, insurance-related business deals with suppliers of a wide variety of services. Will be responsible for understanding business goals and structuring contracts to meet those goals while adhering to legal requirements and Company policies and procedures, including: Learning the overall business in detail, serving as a trusted partner for our internal clients. Collaborating with internal clients to understand short and long-term transactional goals Translating complex commercial transactions and advising with respect to deal structures to optimize benefit and minimize risk. Drafting contracts of varying complexity, including contracts for which no templates exist and that require significant creativity. Reviewing contracts submitted by suppliers, modifying those contracts, and driving those contracts to closure. Providing extensive counseling regarding contract enforcement. Supporting multiple demanding stakeholders while consistently meeting agreed deadlines. Driving the contract lifecycle from drafting, through the negotiation process, to contract execution. Ensuring proper document retention protocols are implemented and maintained. Drafting and maintaining Standard Operating Procedures (SOPs), manuals and other written guidance to support contract compliance management responsibilities. Insurance Compliance Management: Taking business and legal priorities into account, develop and implement compliance policies and procedures to achieve general corporate and insurance compliance goals including,Ensuring contracts are compliant Company policy and with laws and regulations impacting insurance companies (e.g., insurance producer rules and privacy, cybersecurity, telemarketing and advertising requirements). Collaborating with Legal Department colleagues to support compliance programs and initiatives. Must have Juris Doctorate degree from an accredited law school. Should have 5+ years of commercial contract legal review experience, either in-house or with a law firm. Prior experience with procurement or supply chain clients is a plus. Should be proficient use of legal research engines (e.g., Westlaw) and proficient with Microsoft Office. Excellent verbal and written communication skill is essential. Excellent commercial contract drafting and negotiating skill is essential. Excellent analytical skill is essential.
