Assistant Corporate Counsel

Assistant Corporate Counsel The candidate will be responsible for leading contract negotiations with customers. Will work closely with Growth team in order to facilitate an efficient customer acquisition process, soliciting input from necessary stakeholders on the broader firm team. Will serve as point-person for the Growth and Operations teams for contract and amendment-related questions that arise with respect to firm s existing customer base. Assist the Corporate Counsel with other legal matters, which may include strategic partnerships, corporate governance and real estate agreements. Draft and negotiate customer agreements (e.g., Master Services Agreements, Business Associate Agreements, and Non-Disclosure Agreement) and amendments, taking into account legal, regulatory, commercial and operational considerations. Draft and negotiate or assist with the drafting of other non-customer contracts, including licenses agreements and agreements with partners and vendors. Work directly with the Growth team and closely with the Engineering, Data Quality, Finance and Customer Success teams to address business needs and mitigate risks. The candidate must have 2-3 years experience with leading contract negotiations, preferably in an in-house setting of a healthcare company or technology vendor (ideally both). Should have Juris Doctorate degree from an accredited and challenging academic program and license to practice in Massachusetts. Experience with HIPAA and privacy/data security topics is preferred. Experience with practical implications of indemnification and limitations on liability is desired. Ability to clearly and concisely communicate complex legal topics to the rest of the organization is must.
