Corporate Counsel The candidate will provide multi-level legal support to Company business partners with a particular focus on drafting and advice and counsel related to commercial contracts, including the Company's membership contracts. Will work as a business partner to the procurement team and other key business functions in the formulation, negotiation and preparation of contracts to support day-to-day business operations and new company initiatives. Report directly to Senior Corporate Counsel. Work with a wide variety of corporate stakeholders, including but not limited to Procurement, Accounting/Finance, IT, Marketing, Operations, Business Development, Retail, Corporate Group Sales, Facilities, Member Services, Risk Management. Provide legal support with respect to the preparation of and the Company's membership contracts, including interface with business partners with respect to new membership products and initial research and ongoing review to ensure regulatory compliance. Review, revise, and negotiate commercial contracts across a broad spectrum of functional areas, including business development, software licensing, SaaS, marketing, media, retail, real estate licensing, promotional, and professional services agreements. Provide business partners with strategic legal advice regarding potential business opportunities. Under the direction of supervising counsel, work to: assess and refine repeatable processes to increase efficiency, enhance compliance, and reduce risk; and develop and manage internal and external resources to improve service levels to business partners throughout contracting process, including evaluating methods to shorten time between contract initiation and execution. Manage outside counsel on an as-needed basis. Develop working knowledge of Company membership agreements and products/services and related regulatory framework governing the same. Oversee existing membership agreement portfolio, including ongoing, but no less than annual review of all existing agreements (membership, training, services) to ensure compliance with: o State/City laws: including but not limited to health studio laws, waiver/release (general liability), consumer protection o Federal laws: including but not limited to payment processing, communications (TCPA, etc.). Partner with Risk Management, Member Services and Operations teams to effect compliance requirements. Support the Company's ongoing membership programs by partnering with business owners (including Operations, IT, Category Management, Member Services, Marketing) to facilitate assessment, development and rollout of new product/services and implement process improvements to meet business needs while ensuring general compliance with laws.

The candidate should have strong communication skills and technical drafting/negotiating ability. Should be proficient in MS Word, Outlook and other standard office software systems Minimum Educational Level/Certifications. Should have strong academic credentials and law degree from an ABA accredited law school. Should be California State Bar member. Should have 3+ years of law firm or in-house legal experience Physical Demands/ Environmental Conditions
