Corporate Counsel The candidate will support all legal functions of the Company. In addition to managing all contracts related activity, will be asked to provide legal leadership on cross functional teams, identify legal issues relevant to the business, give recommendations to address critical issues so that business and legal objectives are met, proactively educate the business on relevel issues, serve as legal advisor in complex business projects and analyze complex issues and concepts in a timely fashion. Support bids and proposals, contract review and negotiations, ongoing project management (including procurement, claims and litigation), and serve as a legal resource in all areas of risk management and compliance. Responsible for leading corporate strategic and tactical legal initiatives and providing Senior Management with effective advice on company strategies and their implementation and overseeing the work of outside counsel. Assist, investigate, research and represent the Company to resolve all legal matters and work with a variety of departments including contracts, human resources, safety, and finance. Assists management on general contracts, third-party agreements and vendor supplier relationships. Drafts and negotiate commercial, contractor and confidentiality agreements, engagement letters and indications of interest. Ensures compliance with contract management procedures; ongoing support on drafting, negotiation and interpretation of contracts. Ensures compliance with claim management procedures; advises on claims as they arise. Reviews and advises on legal documents including software licenses, employment claims/charges, M/W/DBE contracts, law suits and disputes. Provides legal advice in compliance with all applicable federal, state and local laws, regulations and rules. Assists in the efficient use, management and evaluation of outside counsel. Liaises with parent company counsel, based in France. Manages litigation processes as necessary. Represents the Company as the Ethics Officer in all matters relating to the Business Ethics and Code of Conduct policy and program; responsible for maintaining corporate compliance. Advises Executive team on new developments in the law and proactively identifies problem areas to minimize risk. Negotiates workable solutions to complex and sensitive legal issues. Works with Executives and legal teams to resolve any project specific issues and to provide legal advice; maintains open and transparent communications and is willing to take direction. Performs other related duties as required and assigned.

The candidate should have Juris Doctor degree from an ABA-accredited law school and Bar admission in at least one state. Must have Good standing in all states where admitted. Must have 7 - 10 years of experience in a law firm or in house legal department setting, with a focus on contracts and commercial law. Construction experience desired. Proficiency with Microsoft Office Suite, Word, Excel, and Outlook is required.
