Corporate Attorney The candidate will serve as initial point of contact for the review, drafting and negotiation of commercial and transactional agreements, including Dealer/Distribution Agreements, Leases, Licensing Agreements, Non-Disclosure Agreements, RFP/Bid Materials, Sales Agreements, Service Agreements, and Vendor/Service Provider Agreements. Will be directly involved in complex business transactions and the review and approval of critical contracts, the Corporate Attorney will provide senior management competent advice on a variety of legal issues, including corporate, litigation, bankruptcy, collections, property, compliance and employment matters. Advise and counsel senior management and project managers regarding a wide variety of issues relating to major heavy equipment supply projects, contract interpretation and compliance. Develop and deploy training for a wide variety of compliance purposes to create and reinforce company policies, procedures and ethical standards.Review, take exceptions and negotiate contracts with customers, vendors and subcontractors. Assist human resources and EH&S departments manage worker s compensation and third party claims which are handled by our insurer and TPAs. Review, negotiate, approve and manage vendor contracts and other contractual agreements. Investigate and make recommendations regarding various claims by employees, vendors or 3rd parties. Recognize potential legal risks to the Company and forcefully advocate for creative, effective solutions. Provide a business-sensitive, value-added approach in coordination with outside counsel on litigation and employment-related disputes. Serves as key legal advisor on all major business transactions, including acquisitions, divestitures and joint ventures. Should have 4 -year college degree. Law Degree from an accredited law school is essential. Must be member of the Alabama State Bar. Must have 7+ years of experience in either private practice or corporate setting reviewing and commenting on contracts and other business arrangements. Experience with cost-effective management of outside legal resources is preferred. Experience evaluating the merits of litigation filed against or on behalf of a company, and working with appropriate senior management to define a strategic defense is preferred. Experience on advising on the company s financing alternatives, including assessing and advising on current and future business structures and legal entities, is preferred. Relationship-building skill is essential. Must have verbal and written communication skills, Should have dvanced computer skills including Microsoft Office.
