Corporate Counsel - Experienced Duties: Draft, review and negotiate a wide variety of material and strategic commercial agreements, including master sales agreements with customers, sales channel agreements with world-wide distributors and outside sales representatives, manufacturing and supplier agreements, EDA software license agreements and license agreements with third party IP suppliers. Develop and maintain the Company s template outbound license agreements for the licensing of software, IP cores and technology to customers. Support strategic corporate projects working at the direction of the executive leadership team and under the supervision of the Company s General Counsel. Support the human resources department on resolution of employment issues, review and drafting of offer letters and employment agreements and implementation of Company policies and procedures. Assist the General Counsel with support of the Company s Board of Directors. Perform legal review of the Company s press releases, marketing materials and web content. Assist the Company in resolving disputes with customers, suppliers and vendors. Directly supervise contracts manager on review and negotiation of standard and non-complex agreements and contract management process. Conduct Company-wide training on topics, including Code of Conduct, confidentiality and protection of IP. Assist the General Counsel on general transactional matters. Qualifications: JD Degree and at least one state bar membership required; membership in the Oregon or California Bar is preferred. 2-4 years legal experience in commercial agreements. 2-4 years legal experience in general corporate work. Working knowledge of employment law preferred. Excellent interpersonal skills, including the ability to work effectively with employees from multiple cultures and at all levels of the organization. Experience in the semiconductor industry preferred.
