Corporate Counsel, Compliance The candidate will be a key member of the Legal Department and will assist with the management of all global corporate compliance efforts and securities and corporate governance matters. Will advise and counsel on disclosure issues under federal securities laws, including Regulation F-D, Regulation G and the use of non-GAAP financial measures, contingencies, and ASC 450, forward-looking statements, and analyst and investor presentations. Assist with the preparation and review of reports filed with the SEC under the Securities Exchange Act of 1934, including disclosures on forms 10-K, 10-Q and 8-K and Section 16 reporting. Provide strong support on all aspects of corporate governance and investor relations matters. Manage various elements of firm s Compliance and Ethics Program. Assist with preparation and review of the Company s annual proxy statement. Assist with the planning and execution of the Company s annual meeting of shareholders. Draft and review materials to be provided to the Board of Directors and its committees. Assist in managing the corporate subsidiary management process. Negotiating, drafting, and coordination of outside counsel on legal matters involving applicable foreign compliance policies. Reviewing internal and external corporate disclosures and communications on behalf of the investor relations, finance, and marketing departments where Company interests are involved to assure no undue risks to the Company. Analyze compliance, litigation and business risks. Define risks and clearly communicate and explain those risks to appropriate internal decision-makers for discussion and resolution. Develop and implement compliance program content, preventive law training programs, conduct presentations and participate in activities to educate company officers and employees as to securities and other laws (such as the FCPA) and company policies. Perform legal research and analysis in complex or important issues. Manage multiple priorities effectively in a fast-paced environment.Exercise a high degree of independence and autonomy. Take a business-oriented approach and mindset in developing and delivering legal solutions. Provide other legal support to the Legal department team as needed.

The candidate should have J.D. Degree from a top institution. Must have 5 years experience counseling on securities laws compliance with a large law firm and/or public company. Must have experience and demonstrated interest and competence in complex, corporate governance, ethics and compliance matters. Must have fundamental understanding of financial statements and accounting principles and comfortable discussing underlying financial statement concepts, including accounting and tax. Must have experience working with accounting teams and knowledge of financial reporting. Significant in-house experience with a startup or technology company that has experienced remarkable scale is required.
