Senior Corporate And M&A Counsel The candidate will be responsible for managing and executing the Company s diverse transactional docket, including acquisitions, divestitures, joint ventures, investments, material licenses and mergers, working with the Company s Director, Global Corporate Law and M&A and its General Counsel, and the Corporate Development Department. Will be responsible for: counseling and advising on all aspects of transactions; conducting due diligence; identifying business and legal risks/issues and proposing practical solutions; negotiating, drafting and reviewing transaction documents; coordinating legal and functional experts in due diligence and negotiation efforts; managing outside counsel; and interacting with local and national cross-functional and corporate development teams. Must have JD degree with excellent academic credentials. Should be Licensed to practice and in good standing with an applicable state Bar. Must have 6-10 years of meaningful transactional experience, including significant M&A work, at a top tier law firm with a national practice. Some in-house transactional experience at a multi-national company a plus. Must have working knowledge of M&A market trends. Experience as a principal on transactions required. Should have experience writing diligence memorandums, creating deal summaries and explaining complex transactional issues and terms in plain English.
