Associate General Counsel - International The candidate will be responsible for Research various non-US laws and regulations, both existing and proposed, effecting the international investment management business; and formulate and provide appropriate legal guidance to internal team members and business partners. Stay up to date on evolving guidance concerning UCITS, AIFMD, MiFID and other international investment management regulations. Assist with the drafting and negotiation of various contracts involving the international business, including dealer/intermediary agreements, fee letters, transfer pricing agreements and investment management agreements. Assist with all legal aspects of managing and maintaining various Nuveen offshore funds (particularly UCITS), including drafting fund offering documents, preparing for board meetings and working with compliance and fund administration teams to resolve issues. Working with other Departments within Nuveen, assist with the establishment of offices overseas, including application for necessary licenses, permits and approvals to conduct regulated activities. Manage external counsel and service providers in order to leverage local insights and capabilities to help grow Nuveen s international business. The candidate should have JD degree from an ABA accredited law school and member in good standing of a state bar with 2 to 6 years experience with a major law firm and/or an in-house legal department, with a focus on one or more of the following disciplines is required: UCITS and other EU investment fund regulation; cross-border sales and distribution; offshore fund formation and governance. Strong verbal and written communication skills, interpersonal skills and organizational skills. Ability to work both collaboratively and independently in a fast-paced, global business environment dealing with multiple cultures, time zones and legal systems. Advanced cognitive flexibility, problem solving and prioritization skills. Must be able to travel (both domestic and international).
