Senior Director, Corporate Development Counsel The candidate will under the guidance of an Associate General Counsel, provides legal counsel, support and representation to the firm's Development team. Performs complex legal assignments in area of specialization. Will draft, negotiate and review/modify Hotel Operating Agreements, Franchise Licenses and all nature of operational and finance related legal agreements pertinent to firm's growth and development but also for the business needs of the open and opening hotels ("Area of Specialization") to meet firm's and IHG's standards and business growth objectives. Has overall responsibility for focusing Legal resources and effort on key Development priorities and creating a strategy to accomplish Development and Departmental goals (including budget). Counsel SVP Associate General Counsel and legal department on relevant legal issues. Develop and maintain a good working relationship in all client areas. Represent and support firm's in dealings with Owners, IHG Franchisees and their legal representatives. Coordinate and work with all other areas of Legal department on relevant matters to ensure efficient resolution of issues. Train and educate firm's employees on germane legal matters. Ensures appropriate, effective and cost efficient use of external counsel in the Identified Areas. If applicable, coach and develop senior paralegal. Act as advisor to staff to help meet established schedules and/or resolve technical or operational problems. Plays significant role in ensuring firm's development is conducted and business objectives are achieved in compliance with relevant laws, policies and procedures and regional strategic priorities. Under the guidance of an Associate General Counsel, takes a leadership role in developing, reviewing and modifying deal structures and contractual documentation to meet firm's and IHG standards and business objectives. Drafts, negotiates and brings to completion management agreements, franchise licenses, and all legal documentation for sales, acquisitions, development and financing arrangements necessary to implement the strategic growth plans of firm's. Ensures provision of and supervises obtaining of proper local legal advice and support in respect of compliance with international law in international deals. Takes responsibility for business development projects having significant financial impact and/or strategic important to firm's overall growth initiatives and profitability Supervises the completion of due diligence on business partners, owners, representatives and IHG franchisees Briefs and advises firm's SVP Associate General Counsel on all matters of important legal significance within the Area of Specialization. Works with SVP to develop overall legal strategies in the Area of Specialization to support firm's Americas business strategies, and by identifying legal trends, risks and opportunities within the market in the Area of Specialization; helps to oversee the successful implementation of those legal strategies. Leads the development, review and modification of updates to firm's form agreements in compliance with updated laws and regulations and industry trends aligned with firm's business objectives / priorities. Oversees firm's contribution to IHG data, document and information management platforms relating to contracts executed in the Area of Specialization. Supervises efforts to ensure that all owner and property records remain updated, records and agreements are amended as required and renewal notices and agreements are issued as and when appropriate. In collaboration with the Regional legal teams, establish and maintain a framework for developing, sharing and implementing aligned legal documents, policies, standards and guidelines by engaging and leveraging the Legal Team's skills and resources. Supervises and manages the use of external legal counsel, as directed by the Associate General Counsel. Ensures all services from external counsel are used effectively and controls external legal costs.

The candidate should have Bachelor's Degree, J.D. and Admission to the Bar in a recognized jurisdiction. Must have 6-8 years' progressive work-related experience in the practice of law with expertise in the Area of Specialization. Demonstrated proficiency in multiple disciplines related to the Area of Specialization (e.g., real estate finance). Proven track record in managing and handling legal work in the Area of Specialization is required. Must have demonstrated project management experience in organizing, planning and executing large-scale transactions from conception through implementation. Strong document drafting skills (attention to detail, analytical, solutions focused) in all areas pertinent to an operating business and owners financing vehicles is required.
