Contracts Counsel / Senior Contracts Counsel (Associate Director/Director) The candidate will direct the negotiation and execution of a variety of agreements and subsequent management of all contracts once executed. Will independently handle and negotiate other agreements, such as confidential disclosures, material transfers, consulting agreements, IT service agreements, GXP service agreements, and standard service agreements, including associated scopes of work. Review and approve the terms of all contractual documents for protection of the company's contractual posture, proper assessment of risk management issues, assist in development of policies related to data protection, implementation and adherence to company policy and legal requirements, and compliance with contractual obligations to counterparties. Advise management of contractual rights and obligations and provide interpretation of terms and conditions and assist in the organization and storage of contracts, including working with the company's contract management system, and is responsible for tracking expirations and other obligations. Report to the Assistant General Counsel. Lead the drafting, review, interpretation, negotiation and execution of various commercial/marketing agreements both US and internationally, while appropriately engaging the Assistant General Counsel for complicated terms or negotiations, as well as coordinate with outside counsel or the insurance broker, as needed. Lead the drafting, review, interpretation, negotiation and execution of other company agreements such as confidentiality, material transfer, consulting agreements, IT service agreements, GXP services agreements, and standard service agreements, including the associated scopes of work. As available, handle the drafting, review, interpretation, negotiation and execution of other development agreements such as manufacturing contracts, quality agreements, clinical service agreements and sponsored research agreements. Efficiently coordinate exchange of contract drafts and negotiation sessions. Assure appropriate approval, signatures and documentation are obtained from the company and counter party. Understand the legal and business (including financial) provisions of contracts, and the implications of revisions of such terms by the counterparty, and propose alternative language to achieve the company's goals, with assistance from Assistant General Counsel where necessary. Understand the company's business in order to most effectively negotiate contracts. Remain apprised of contractual rights and obligations in executed active contracts and appropriately advises management of such. Provide summaries and reports of contract progress to management as requested. Assist in development of policies and their implementation at the company regarding activities related to data protection, and develops appropriate tools to ensure consistent compliance for the company. Communicate with finance regarding contractual financial obligations and payments as needed. Communicate with contract owner, and management where applicable, regarding contractual rights obligations as needed. Provide assistance to the Legal department in complicated or strategic transactions. Independently manage internal stakeholders to complete contract negotiations, explains key issues during negotiation process, makes recommendations as to negotiation strategy to achieve company's goals.

The candidate should have a J.D. degree from an accredited law school. Admission to CA Bar is helpful, but admission to any US State Bar is required (and willingness to become registered with CA Bar). Must have 3-5 years of experience in negotiation various agreements in a wide range of complexity, including experience in negotiating international contracts is preferred. Should preferably also have 2-3 years of experience in drafting, managing and negotiating contracts in an in-house setting. Must be proficient in understanding intellectual property rights and data privacy rights, both in US and internationally.
