Assistant General Counsel, Corporate (Director / Senior Director) The candidate will direct the corporate legal function of firm and serves as point person for all corporate matters, including entity set-up and management, SEC reporting, corporate governance, and stock-based compensation. Will provide advice and counsel to management and the Board of Directors on a full range of legal issues, risks, and trends impacting the company s business, including public company reporting, litigation, corporate securities and financing transactions, and employment; works with the executive team to understand strategic initiatives and business needs so as to be in a position to provide relevant legal and business counsel. Develops and manages a strategic plan for providing legal services to support business objectives; recruit, develop, train, and manage a growing team of in-house lawyers and other legal staff in accordance with the strategic plan. Ensures compliance with all applicable laws, rules, and regulations both domestically and globally including California, Delaware, SEC, and Nasdaq. Oversees the legal aspects of the SEC filings including the proxy statement, ensuring full compliance with SEC and procedures, and represents the company as appropriate in coordination with the General Counsel. Establishes and influences appropriate ethical standards and legal guidance which must be taken into account when decisions are made. Advises on litigation risks of possible business decisions, providing preventive counseling with respect to the legal risks associated with business practices, and developing strategy with both inside and outside counsel in response to civil litigation and regulatory inquiries; negotiate settlement agreements where appropriate and cost-effectively manage the resources required to address those matters. Conducts in-house training regarding relevant legal issues. Provides legal and strategic support for all employment-related matters.

The candidate must have 7-10 years of legal experience gained through a combination of major law firm and in-house experience, with experience guiding and leading other counsel. Solid life sciences experience is required, including work in the areas of commercial contracts, licensing, clinical trials, manufacturing, SEC compliance, and financings. An active interest and curiosity in the field of biopharma is an expected part of the successful candidate s interests. Must have experience effectively developing and implementing strategy, in partnership with outside counsel as appropriate, to address complex legal issues. Must have 33 Act and 34 Act disclosure and compliance experience, including Sarbanes-Oxley and other SEC requirements.
