Corporate Counsel The candidate will report directly to the Chief Operating Officer and is responsible for a wide range of legal matters across the firm. Will advise Company on issues related to legal compliance and risk management, and the evolving legal landscape as it affects firm. Effectively and proactively communicate on new or evolving legal issues. Develop and update contract templates and policies proactively and identify new tools and company resources that are needed to ensure consistent and robust business processes and practices. Review, revise, and negotiate, when necessary, client agreements, confidentiality agreements, vendor contracts, and other company legal agreements. Maintain and keep current secure legal database that houses all agreements, contracts, and legal documents. Manage and advise on provisions and risks related to applicable vendor relationships. Manage, update and keep current company policies related to employees and independent contractors, ensuring related training is provided when necessary. Review and approve offer letters and independent contractor agreements. Draft and negotiate employee termination contracts and clauses, including severance and non-competes. Evaluate and provide counsel regarding employment matters, including employment litigation and investigations into personal matters and concerns. Oversee with CFO the portfolio of insurance policies related to the operation of the business, including but not limited to liability, property and casualty, and employment related polices. Know and comply with professional liability insurance policy obligations and know exact requirements of renewal applications. Provide guidance during requests for proposals processes and contract negotiations to ensure that adequate coverage is provided for all potential risks. Oversee the conflicts check process to ensure that all potential conflicts have been properly vetted and/or resolved. Provide guidance to functional leads regarding compliance with federal, state and local legal requirements by researching existing and new legislation and consulting with outside advisors. Assist with the quick resolution of conflicts and other ethics matters. Assist in defining and maintaining corporate governance framework (light but effective). Drive the buildout of advisory board process, and assist in the management and documentation of process. Support acquisition and partnership activities, including contracting, legal advice and thoughts. Work with outside counsel where required, minimizing investment in external assistance. Work with CFO and HR to manage state, local and federal requirements arising from the management of the business and its subsidiaries. Must have overall broad legal knowledge and in-depth understanding of how legal issues affect organizations. Should have experience working as in-house counsel, preferably within a software company. Must have 5-10 years relevant legal experience in multiple legal specialties including general business, contracts, employment law, stock option plans, intellectual property protection, boards and governance, and compliance. JD degree is required.
