Corporate Attorney - Environmental Services The candidate will provide legal support for business development activities by the Environmental Services (ES) Division in the United States and Canada, and legal services for ES contract operations in North America. Nature and Scope-Principal Areas of responsibilities: Serve as principal legal contact for the ES Business Development team, and identify and address legal risks and issues for RFP bid submissions. Coordinate legal aspects of business proposals for prospective clients, including legal due diligence, corporate structuring of proposing entity, coordination with Insurance/Risk Management and Treasury as needed, supervision of outside counsel if required, and preparation of legal memoranda and proposal documentation for internal committee review and approval (including the NA Consideration Committee). Draft, review and negotiate favorable legal terms in ES contracts with the Company s clients and other participants in transactions, with a goal to protecting the Company s financial interests; Negotiations may involve operations and maintenance agreements, design/build/operate contracts for major facilities, and concession agreements, as well as transactional documents including teaming agreements, flow-down subcontract agreements and interface agreements. Upon the request of Company management, provide advice on the legal implications of proposed and newly enacted legislation affecting the Company s corporate and business development programs. Provide advice to Company personnel regarding rights and responsibilities under contracts and provide assistance with respect to the enforcement of contract rights. Provide legal services to support ES acquisitions and divestitures, including agreement review and negotiation, participation in due diligence, preparation of memoranda outlining legal risks, and preparation and review of signing and closing documents. Respond to inquiries from internal management and contribute to management decision-making by providing research, legal memoranda, counsel and advice on legal matters. Keep the General Counsel informed of complex, sensitive and/or material matters in a timely manner and seeks his/her counsel on matters requiring attention. Maintain professional standards and expertise through membership in bar associations, legal publication review and attendance at relevant CLE seminars. Report indirectly to the President of the ES Division. Experience managing legal professionals and/or paralegals required. Should have 7+ years of experience in corporate law, including drafting and negotiating commercial contracts, construction contracts, operating agreements, leases, shareholder agreements, partnership agreements, management contracts, and M&A documentation, and conducting legal due diligence. Project finance, infrastructure finance or P3 experience preferred. Experience with the legal and operational aspects of water and wastewater operations or related industries preferred.
