Contracts Attorney The candidate will support the business with respect to federal procurement law and construction contract issues, including prime and subcontracts with the U.S. Government. Will advise Acquisition Management on the formation and administration of Government contract subcontracts, particularly construction contracts, litigation and claims, and related areas such as compliance and other transactions. Provide advice and counsel to management, contract administrators, and requestors as it relates to U.S. Government contract law, including construction contract law. Principal areas of responsibility will include: policy and regulatory interpretation; contract review and negotiation; analysis of claims; and resolution of contract disputes. Provide advice and counsel with regard to FAR/ DEAR/DFARS contracts, subcontracts, and construction contracts. Assist with the compliance and provide training in U.S. government contracts, construction contracts, and specific regulatory procedures. Act as a steward of compliance for the company. As required, may attend and participate in business negotiations; collaborate and/or manage outside legal counsel on various legal matters; assist in the negotiation and administration of intellectual property rights. As a member of the legal department, will also advise on the legal aspects of international trade compliance, data rights, trademarks, copyrights, nondisclosure agreements, trade regulations, anti-trust laws, purchasing, tax, insurance and property matters, as well as public relations. Conduct internal investigations under the supervision of Managing Counsel. Accept other tasks as assigned by Managing Counsel.

The candidate should have JD degree from an accredited law school and be a member in good standing of the bar in at least one U.S. state or territory. Must have 10 years of experience, a significant portion of which should include federal government procurement, contract law, and construction contract law, in either a law firm, corporate legal department and/or government agency. Should be Admitted to practice in New York, Pennsylvania, or preferably ID, or the ability to obtain such within a year. Must have broad government contract, including construction contract skills. Must have knowledge of the Federal Acquisition Regulations (FAR), agency supplements (DFARS & DEAR) and the Uniform Commercial Code. Experience with the False Claims Act, other government anti-fraud regulations, and Mandatory Disclosure Rule is required. Excellent business acumen, analytical and problem solving expertise, and proven negotiation skills required. Excellent executive level communication, presentation, teambuilding, coaching, and leadership skills needed. Must be able to obtain and maintain a U.S. Security Clearance at the appropriate level (requires solely U.S. Citizenship). Experience within Department of Energy, Department of Defense contractors, or related industries is preferred. Experience in advising and representing corporate employers, either in private practice or as a member of a corporate legal department is preferred.
