Corporate Counsel The candidate will report directly to the General Counsel, and will provide a wide range of legal services and advice to business units throughout the organization, primarily in the areas of contracts, intellectual property, regulatory compliance, risk management and insurance. Provide legal advice and support to various business units relating to a variety of transactional and commercial matters in the U.S., including drafting, reviewing, analyzing and negotiating customer contracts, confidentiality, license, collection, consulting, independent contractor, transportation agreements, master service agreements, information technology agreements, property and equipment leases, terms of use, privacy policies and other commercial arrangements. Provide support with respect to intellectual property. Review marketing materials and presentations to ensure compliance with federal laws and regulations and assist business units with marketing issues and strategies to meet the specific needs and requirements of the organization. Counsel management on corporate legal issues relating to regulatory compliance, intellectual property, contracts, direct investment, employment, consumer protection, technology, international trade, sales and marketing and direct selling laws. Enforce commercial and municipal contracts, including collection of past due amounts, pursue and defend claims of tortious interference against and by competitors, pursue claims against poachers and enforce various contract provisions. Assist business units with contract issues, enforcement, dispute resolution and best practices - including mediation, arbitration and litigation. Counsel management on legal and corporate compliance issues, including drafting and implementing policies and procedures. Provide support for the upkeep and implementation of appropriate document retention and control policies. Enhance awareness of legal and commercial risks to management and work proactively in responding to legal and compliance issues from management. Prepare and update template agreements and provide relevant legal training to business colleagues. Cooperate with legal counsel colleagues. Participate in the management of relationships and services of outside attorneys. Answer subpoenas, including requests related to employment records. Complete special projects as requested. Assist with insurance claims and management of relationships with brokers. Manage workload to meet deadlines.

The candidate should have 6-9 years of relevant experience to join corporate legal team. Must have J.D. from an accredited US law school with excellent academic credentials and references. Bar admission and active license to practice law in at least one state is required. Should have significant contract negotiation and drafting experience and comprehensive knowledge of contracts, including experience negotiating with sophisticated parties. Must have excellent verbal and written communication skills. Should have sound and practical business judgment and ability to analyze and apply legal advice in a practical manner. Must have proficient use of MS Office Products. Must have ability to work across jurisdictions and forums. Should be capable of effective collaboration and interaction across distinct business groups and with a diverse set of personalities. Strong familiarity with compliance is required. Legal research experience preferred.
