Corporate Counsel The candidate will review, markup and draft contracts (from forms and from scratch). Help negotiate and close deals, including master services agreements, statements of work, licenses, RFP responses. Will provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients operating in the United States. Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships. Spot and manage issues. Investigate the facts, research the law and prepare concise summaries including legal recommendations. Escalate matters as appropriate within the legal department and business clients. Respond to inquiries from regulatory agencies, customers and business community. Anticipate and mitigate potential legal problems within the assigned vertical. Develop strategies to avoid litigation and reduce potential areas of risk. Negotiate and/or approve changes to legal documents requiring an intermediate level of expertise. Manage assigned projects to completion. Assist more senior attorneys and management in higher level matters, as needed. Should have JD degree (or equivalent) from an accredited law school required. Licensed to practice law in any US state or the District of Columbia is required. Should have 5+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred. Excellent verbal and written communication skill is needed. Experience handling technology contracts, anti-bribery compliance, data privacy, regulatory and privacy matters preferred.
