Associate Corporate Counsel

Associate Corporate Counsel The candidate will support the continual growth of the business globally. Will report to the Vice President, Legal. Provide legal guidance to the Finance, Treasury, Tax and Corporate Development groups on contract interpretation, identifying and addressing risk, liability issues and material contract terms. Advise Tax group on routine corporate restructuring activities. Review, negotiate and draft legal documents related to the business of the Company, including commercial contracts, technology agreements, partnership agreements and intercompany agreements. Research legal issues and provide legal advice to the Company s business operations and functional departments. Support Treasury function with respect to (i) an array of financial products used by , (ii) intercompany debt and equity transactions, (iii) debt facilities with third parties, and (iv) banking relationships. Assist with the global governance of affiliate and subsidiary entities, coordinate with regional corporate counsels in preparing necessary corporate actions, including board meetings and powers of authority/delegations of authority. Manage legal aspects of parent company guarantees, third party guarantees, and project bonding when required. The candidate should have 8-12 years of progressive legal experience in mergers and acquisitions and commercial contracts (law firm and in-house preferred. Should have Juris Doctor degree from an ABA accredited school. Must be admitted to practice law in any US State; Michigan is preferred. Strong execution skill is essential. Experience in drafting and negotiating M&A documents and banking and debt instruments and agreements, in managing and coordinating due diligence and other corporate governance records (minutes, consent resolutions, PoA s, etc.); in an international environment is preferred. Knowledge of and experience with construction law, including drafting construction contracts and resolving commercial disputes is preferred. Excellent interpersonal, written and oral communication skills with internal and external customers; experience with cross-cultural communication is a plus. Strong problem solving and team building skills necessary to work with various technical disciplines, internal departments and the global legal team. Should have Masters Degree or equivalent experience.
