Corporate Counsel The candidate will work closely with its General Counsel to service all of firm legal needs and ultimately to assume responsibility for the legal needs of one or more business units. Will review and negotiate contracts and license agreements and provide legal support to the Sales organization and to other parts of the Company as needed. Provide timely guidance on all legal matters and will include both routine activities and extraordinary events. Negotiate and draft contracts, services agreements and license agreements. Provide advice with respect to legal and business matters to firm and its operating subsidiaries. Provide legal support and advice on sales and marketing, consumer and competition law issues, advertising regulations and other commercial matters. Analyze novel or complex information and issues to distil into contracts or develop strategies to facilitate the consistent application across the business. Provide education and awareness to client groups on relevant laws and practice. Perform due diligence during acquisitions. Manage business associate agreements and related issues under HIPAA. Providing legal support on ad-hoc projects as determined by the General Counsel. Research and advise on new laws affecting the company, use internal legal research skills and make presentations to business units and staff support groups. Develop and maintain excellent working relationships with internal clients, sales and support teams and customers. Work effectively with the legal department of the Company s parent company, ResMed. The candidate must have JD degree from an ABA accredited law school and active and in good standing with at least one State Bar association. Should have 5+ years of legal experience with a top law firm or in-house position with a preference for licensing and drafting contracts. In house experience with a technology company is preferred. Experience in licensing, healthcare, or software as a service is a plus. Specialized knowledge of privacy, HIPAA, HITECH is desired. Experience with Salesforce is an asset.
