Director, Contracts and Commercial Counsel The candidate will help enhance, build, implement and institutionalize the Company s contract review, analysis and tracking process. Will work to enhance the contracts compliance functionality within the commercial law group, focusing on best practices, process improvements, compliance initiatives and training. Responsible for contract drafting, review, analysis and negotiation. Also be responsible for driving key projects relating to corporate and transactional law as well as other commercial projects and compliance initiatives in the areas of data privacy and records management. Review, analyze, draft, negotiate and coordinate commercial contracts such as product, services and consulting agreements with different business units (such as IT, Stores, Distribution Centers, Finance, HR, Buying Office). Enhance and maintain best practices regarding the Company s contracts and business transactions. This includes communicating and training on contract templates, required/preferred language and provisions, guidance to business stakeholders early in the contract development process, negotiation advice and business feedback. Assist with commercial law group projects and key initiatives. Projects would include, but not be limited to, records management and retention, contracts and other compliance training for internal business units, data privacy/security initiatives and, corporate/transactional work. The candidate must be Licensed CA attorney. Must have 7-10 years of contract or related legal work in a law firm or in-house. In-house experience preferred. Strong analytical skills, organization and attention to detail required. Must have ability to multi-task, prioritize, work independently, and maintain high level of focus. Strong interpersonal skills required, to effectively communicate with business units at all levels within the organization. Strong project management skills needed.
