Corporate Counsel

Corporate Counsel Duties: Negotiating, writing and executing agreements and contracts on behalf of the company. Offering counsel on a variety of legal issues including data privacy, corporate and commercial matters, intellectual property, tax, and international business and regulatory issues. Advising proactively on FDA, clinical and regulatory risks & issues. Advising executives within the company. Working alongside other departments within the company. Advising proactively on contract status, legal risks, and the legal liabilities associated with different deals. Researching and anticipating unique legal issues that could impact the company. Reviewing advertising and marketing materials to ensure that they are in compliance with legal requirements. Establishing processes and systems to track and manage company projects involving legal support. Providing training to the company on legal topics. Liaising with and directing external counsel on a regular basis to manage projects efficiently and cost-effectively.

Requirements: Must have a law degree from an accredited University. Must be admitted to a United States Bar. Start-up experience very beneficial. Experience from clinical affairs-related legal matters, e.g. CTAs strongly preferred. Experience in FDA regulated industries (medical device, pharmaceuticals, etc.) preferred. Experience from other heavily regulated industries will be considered. Experience with patents and other intellectual property matters (trademarks, trade secrets, etc.). Experience with legal aspects of securities, financing, M&A and IPOs. Strong interpersonal skills, with the ability to communicate effectively with others at all levels of the organization. Strong negotiating skills with both legal and financial/commercial issues. Ability to establish and maintain strong business relationships across all functions in the organization. Proactive approach, with high sense of urgency and results orientation. Excellent communication skills with internal and external customers. High levels of integrity, honesty and maturity. Able to manage varying tasks simultaneously and work autonomously and/or in a cross functional team in a fast-paced business environment. Accuracy and attention to detail. Positive attitude & aptitude for change, learning, teamwork, good judgment and problem-solving abilities. Ability to be self-sustaining (work independently with little or no supervision) and function as own paralegal.
