Counsel, Federal Government Business The candidate will lead the legal support provided to Siemens Healthineers Federal Government Accounts group, reporting to the VP of Legal, Operational Solutions and Services. Will, among other things, negotiate and draft contracts, utilizing a variety of government contracting vehicles, as well as other complex, commercial and other agreements (and sub-agreements) concerning the sale (and in some cases the development) of highly-complex medical devices and related reagents to U.S. Government customers and Government Contractors to drive growth, while maintaining compliance with applicable governmental procurement rules and regulations. Direct the identification, development and implementation of the entire range of federal contract/subcontract formation, negotiation and administration of policies & processes in accordance with U.S. Government customer requirements, federal laws/regulations and corporate objectives. Draft, review, and negotiate a wide variety of agreements, including bid protests, construction contracts, federal grants, licensing agreements, service agreements, novations, non-disclosure agreements and teaming agreements to meet business and legal requirements. Collaborate with Federal Government Accounts group to analyze business, regulatory and legal contract terms. Direct the activities of contracts/subcontracts legal professionals in the administration of simple to highly complex contracts and agreements of strategic importance to the corporation. Drive the management of contract documentation flow, approvals, reporting and archiving consistent with internal processes. Prepare and conduct training on company policies related to government procurement regulations. Develop creative and compliant solutions to resolve complicated business challenges and customer disputes. Educate and guide business partners with regard to key Federal Government, competition, data privacy and significant regulatory considerations. Negotiate with key customers, partners, suppliers, vendors and government agencies. Develop contract policies and procedures to ensure achievement of corporate directives. Provide ongoing counseling regarding (and efficient implementation of) various corporate policies, initiatives and/or programs. Cooperate across corporate business units and departments and throughout a sizeable group of affiliated companies to achieve optimal results while minimizing risk. Perform other duties as assigned. Proven ability to independently lead and execute all facets of challenging engagements with highest integrity and ethics from preliminary/conceptual advice, through structuring, negotiating, drafting, closing, and any subsequent conflict resolution. Highly polished and effective negotiation, communication, listening and drafting skills, including those suitable for interaction with senior managers and executive leadership within a global and matrixed organization and with senior management of key customers. Expertise with Federal procurement law and regulations, including False Claims Act, small/minority/disadvantaged businesses, OCONUS (outside contiguous United States transactions and Federal grants. Broad and deep knowledge of the Federal Acquisition Regulations (FARs), agency supplements and. the Uniform Commercial Code. Knowledge of various contract types, such as: FFP, CPFF, CPAF, CPIF, T&M and vehicles IDIQ, FSS, BPA, and BOA. Expertise in U.S. healthcare legal and regulatory environment. Fluency with the regulatory environments, including anti-kickback laws, fraud and abuse statutes, and privacy laws applicable to medical device manufacturers. Demonstrated skill in working collaboratively with multiple teams simultaneously, some of whom may be located outside of the U.S. Proven ability to identify, initiate and follow-through on appropriate actions and follow-up. Innovation in design and delivery of legal strategies and solutions to support evolving business objectives. Experience with monitoring and improving processes through ongoing optimization efforts, technology enhancements, and business partner feedback. Willingness and ability to travel domestically and, from time-to-time, internationally.

The candidate should have U.S. law degree (J.D.). Must have 10 years of experience, a significant portion of which should include federal government procurement and contract law, in either a law firm, corporate legal department and/or government agency. Responsibility for Federal Business legal function within a significant company with meaningful U.S. Government business is preferred. Experience in the negotiation and resolution of various types of claims associated with U.S. Government contracts is required. Must have excellent business acumen, analytical and problem solving skills, and proven negotiation skills.
