Counsel, Employment and Litigation The candidate will work closely with Entegris Human Resources partners to accomplish the Company s workforce objectives while minimizing risk across various personnel matters, including performance management, reductions in force, talent acquisition, labor relations, leaves of absence and accommodations, EEO/affirmative action, compensation and rewards, and learning and development, among other area. Counsel HR on compliance with state and federal employment laws including Title VII, ADEA, ADA, FMLA, and FLSA and compensation and benefit regulations including 409A and ERISA; review and update employment policies, including employee handbooks, bonus plans, compensation guidelines, benefit plans and severance programs; train and advise HR on recent developments in employment law; conduct legal review (including adverse impact analyses and WARN assessments) of workforce reductions, consolidations and restructurings. Research and respond to inquiries from HR and other corporate business partners regarding employment law issues, including employee discipline, disability leaves and accommodation, reorganizations and reductions in force, exempt employee classifications, diversity and inclusion, and wage and hour issues. Represent Entegris in both adversarial (administrative, arbitral, and court hearings) and cooperative dispute resolution proceedings. Manage outside counsel retained to represent Entegris in litigation and provide support on key business initiatives and human resource projects. Oversee outside counsel in labor and employment matters, including establishing case strategy, reviewing and approving pleadings, discovery responses and dispositive motions and briefs, among other dispute management tasks; manage outside counsel spend to budget. Manage and advise on Entegris deferred compensation, 401K, long term incentive, short term incentive, and equity plans. Work closely with the SVP, HR to support the Management Development and Compensation Committee of the Board of Directors. This position requires in-depth knowledge of anti-discrimination/harassment/retaliation laws, leave of absence and accommodation obligations, wage and hour statutes and regulations. This position also requires strong interpersonal skills and the ability to impact and influence workforce development strategies. Analyze, draft, negotiate, and revise agreements, policies, and programs that govern employment and contingent worker relationships. Supervise internal EEO and compliance investigations. Working with the Chief Compliance Officer to research and resolve conflict of interest disclosures. Ensure that employment-related claims are addressed promptly and thoroughly and are resolved in a manner designed to minimize potential liability. Develop and present training workshops on harassment, bullying, respectful workplace, diversity and inclusion, and other employment law-related topics. Must have 5+ years of labor and employment and benefits experience. Law firm experience required, prior in-house experience preferred. Should have superior written and verbal communication skills. Must have JD degree from an accredited law school; member of state Bar in good standing.
